A firm at a strategic crossroads.
An independent London Market broking firm came to AMC with a question it had been circling for some time: what does the next chapter look like? The business had a strong specialist lines franchise, a loyal client base and a team with genuine market credibility. It had also reached the point where organic growth alone would not deliver the scale needed to compete for the largest risks — and several longstanding shareholders, having backed the business through its formative years, were looking for a path to liquidity.
The firm had not yet decided what it wanted. It knew it needed to evolve. What it needed was a clear-eyed view of its options and introductions to the right parties to test them.
The honest early conclusion was that growth without external capital was not a realistic option. The question was what form that capital should take — and whether financial investment or strategic combination would better serve the firm and its shareholders.
Our Approach
Options first, introductions second.
AMC's first contribution was analytical rather than transactional. We worked with the firm's leadership to map the realistic strategic options — standalone growth with PE backing, minority investment from a strategic partner, a merger of equals, or outright acquisition — and stress-tested each against the firm's commercial position, shareholder objectives and the realities of the current London Market consolidation landscape.
The conclusion was clear and we stated it directly: without external capital of meaningful scale, the firm's growth ambitions were not achievable in the timeframe the shareholders required. Financial investors were introduced and conversations progressed — but the firm's relative scale and the complexity of its revenue concentration made a purely financial transaction difficult to structure on terms that worked for both sides.
In parallel, AMC had identified a more natural fit: a comparable broker with complementary specialty lines capability that had been actively seeking to add depth in precisely the areas where our client was strongest. We facilitated the introduction, supported the early-stage discussions and provided input on the people and cultural dimensions of the potential combination — the areas where our sector knowledge and relationship experience added most value alongside the formal advisors.
The Outcome
Strategic options clearly mapped and presented before any external introductions were made — ensuring the firm understood its position before engaging the market.
Multiple external investors introduced; financial transaction ultimately not the right structure given the firm's profile and shareholder requirements.
Strategic acquisition by a complementary broker completed — delivering liquidity for founding shareholders and capability expansion for the acquirer.
